Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 10, 2009, Progress Software Corporation (the “Company”) issued a press release announcing that Dr. John Bates had been appointed Vice President, Chief Technology Officer and Head of Corporate Development of the Company. Dr. Bates replaces Jeffrey Stamen, Senior Vice President, Corporate Development, as Head of Corporate Development. Mr. Stamen, who was a Named Executive Officer during the fiscal year ended November 30, 2008, is expected to remain with the Company as a part-time employee in an advisory capacity until March 31, 2010. Effective upon his change in role, the Company has determined that Mr. Stamen is no longer an executive officer of the Company. As of the date of this Report, the terms of Mr. Stamen’s separation have not yet been finalized.
