Explanation of Responses:
In connection with certain changes to PSC's organizational structure,
reallocation of responsibilities among officers
of the Company and personnel changes, the Board of Directors of Progress
Software Corporation has determined
that, effective May 1, 1997, the reporting person will no longer be designated
an "executive officer" and an
''officer" of Progress Software Corporation within the meaning of Rule 3b-7 and
Rule 16a-1(f) under the Securities
Exchange Act 1934, as amended. This is the final Section 16 report for the
reporting person since, as a result of
the change in his designation described above, he is no longer subject to the
requirements of Section 16.
